1 Definitions

In these Terms and Conditions the following words shall have attributed to them the meanings specified

1.1 'Goods' shall mean all goods and services which the Customer agrees to buy from Qables including replacements for defective Goods, hardware documentation and software products licensed for use by the Customer.

1.2 'Qables' shall mean the issuer of these terms and conditions whose principal place of business and registered office is in Nuenen the Netherlands

1.3 'Contract' shall mean the Contract between Qables and the Customer for the sale of Goods by Qables to the Customer.

1.4 'Customer' shall mean the person, company or any other body that purchases or agrees to purchase Goods whether a Consumer, a Trade Customer or a Credit Customer.

1.5 'Catalogue' shall mean any published promotional material produced by Qables either electronically or printed.

1.6 'Consumer' shall have the meaning of a natural person, who does not act in the course of a profession or business.

1.7 'Trade Customer' shall mean a Customer who buys Goods for the purpose of a business and not as a Consumer.

1.8 'Credit Customer' shall mean a Trade Customer to whom Qables allows credit in respect of Goods purchased or agreed to be purchased.

1.9 'Working Days' shall mean Monday to Friday but exclusive of Bank Holidays.

1.10 'Customer's Registered Address' shall mean the address of the Customer that is already registered with Qables or the address registered with the issuing company of any debit or credit card which is used as a means of payment for Goods.

2 General

2.1 All orders for Goods are accepted by Qables subject to these terms and conditions of sale which supersede any other terms and conditions previously published. These constitute the entire understanding between Qables and the Customer for the sale of Goods.

2.2 All descriptions and illustrations contained in the Catalogue or any price list or otherwise communicated to the Customer are intended as guidance only and illustrations and descriptions may vary. Qables will use its best endeavours to ensure that all descriptions and advice offered are correct, but it is the customers own responsibility to ensure that the requirements and expectations and use of the product in the way intended by the Customer are clear and correctly stated as this is relevant to the information then offered by Qables on Qables products.


3 Prices and Value Added Tax (VAT)

3.1 All prices for the Goods are in the currency mentioned and are in first instance included Value Added Tax (VAT) at the relevant rate ruling on the date of despatch but they do not include the cost of carriage, packaging or other charges which might becomes payable under a contract with Qables.

3.2 Whilst every endeavour will be made to maintain the published prices, Qables reserves the right to alter prices at any time. Any change in price will be communicated to the customer at the time of ordering.

3.3 For Credit- and Trade Customers within the EU but outside the Netherlands, Qables can sell goods excluding VAT upon special request, a so called Inter Community Transaction.

3.4 For customers outside the EU Qables will sell goods excluding VAT. The excluding VAT prices will be shown when logged in using a non-EU shipping address.


4 Orders and warranty

4.1 Orders should be made using Qables order codes and a Customer number as provided by Qables.

4.2 Orders will only be taken by through the webshop.

4.3 An order confirmation will be sent by email

4.4 Qables reserves the right to deliver part orders, or hold orders until all items are available, as required.

4.5 If the Customer is buying as a Consumer the Goods may be returned within 7 calendar days of delivery for a full refund, IF THEY ARE UNUSED AND UNOPENED. After receipt of the returned goods Qables will refund in full to the Customer the invoice value of the Goods minus the transport costs and applicable payment transactions fees that Qables will be liable to. The Customer shall be liable for the postage costs to return the Goods to Qables. The Goods must be returned by first class post with proof of posting. The Customer must take reasonable care of the Goods and return them in the original packaging and suitably protected to ensure safe delivery to Qables. This paragraph shall not apply to 16.1 of these terms and conditions.

4.6 Exclusions to the 7 days return policy

The 7 days return/money back guarantee as mentioned in article 4.5 does NOT apply to:

Custom Build Cables, meaning cables that were asked to be build to specification of the customer. For these cables the standard warranty is a one (1) year return and repair warranty

Parts and goods were it is specifically stated that the 7 days return/money back guarantee is not applicable, such as on-sale articles, B-stock sales etc.

Parts and goods that are pre-cut to the length as ordered, such as braided sleeve, heatshrink etc..

iQube portable Amplifiers. The iQube carries a limited product warranty only.

4.7 When dealing as a Trade- or Credit Customer authorisation for the return of goods must be obtained from Qables by email. In the event of the Trade- or Credit Customer cancelling part of an order Qables reserves the right to charge for any difference in the selling price applicable to the quantity despatched up to the time of cancellation and the total price of the original order.

4.8 Qables reserves the right to decline to trade with any person or organisation. In addition, and notwithstanding any other provisions of these conditions of sale, Qables may decline to accept any order, whether or not payment has been received, by giving notice of non-acceptance to the Customer by email, facsimile or telephone within 24 hours (excluding weekends and public holidays) of receipt by Qables of an order. In the event that Qables declines to accept an order in respect of which payment has been received, the full paid amount of such payment will be refunded.

5 Becoming a Credit Customer

5.1 Trade Customers wishing to purchase Goods on account at Qables will be subject to individual contract terms. Please contact Qables by email at the designated email.


6 Shipping and Packing

6.1 Shipping will only take place after payment receipt unless the details on the order have been specified differently or whether different conditions have been agreed in writing on forehand.

6.2 The shipping charge is dependent on the chosen method of shipment which can be optioned during the purchasing process on the website.

6.3 All goods are adequately packed to ensure safe delivery to the Customer. There is no packing charge applicable unless agreed and differently specified on the purchase order.

6.4 Delivery will normally only be made to the Customer's registered address specified at the moment of purchasing on the website, unless notified to Qables in writing beforehand.

6.5 Qables shall not be liable to compensate the Customer by way of damages or otherwise for non-delivery or late delivery of the Goods or any of them or for any loss consequential or otherwise arising from non-delivery or late delivery.


7 Payments

7.1 Payment shall be made by the Customer for all monies owed to Qables in respect of orders placed for Goods.

7.2 Payment shall be made at the time that the order is placed. Payment may be made by, and is acceptable by major credit and debit cards: MasterCard, Visa Maestro, bank transfers or paypal.

7.3 Credit terms are available to Trade Customers on request and subject to status, satisfactory references and acceptable trading history with Qables. Payment terms shall be agreed upon separately. Time is of the essence for payment. If the Credit Customer fails to make any payment on the agreed due date, then, without prejudice to any other right or remedy available to Qables, Qables shall be entitled to:

i) Interest charges based on the normal at the time applicable banking rates on the unpaid amount from the due date up to the actual payment date.

ii) Charge an administration fee for any legal or other collection processes required to recover all monies due.


8 Ownership and Risk

8.1 The risk of damage to or loss of Goods ordered from Qables will pass to the Customer when the goods leave the Qables premises (ex-works).

8.2 The Customer must inspect the Goods as soon as they are delivered and shall within 24 hours of such delivery or receipt give notice to Qables of any damage or defect or shortages in the Goods.

8.3 These Conditions do not apply to Trade- and Credit customers. These will be separately agreed in writing.


9 Export

9.1 The Customer is responsible at their own expense to obtain any import or export license or any other documentation deemed necessary by any compliant authority.

9.2 The Customer is responsible at their own expense for any import duties and or taxes applicable.

9.3 Qables reserves the right depending on the manufacturers policy to cancel export orders without notice and to fully refund any payments.

10 General Descriptive Matter

10.1 Whilst every endeavour is made to ensure accuracy, all specifications, illustrations or other details contained in the Catalogue or any price list or advertising material or otherwise communicated to the Customer are intended merely to present general information of the Goods. Descriptions and illustrations may vary.

10.2 If the description of any Goods which are not directly manufactured by Qables contained in any correspondence, invoice or the current Catalogue varies from that of the manufacturers description, then the manufacturers description will be deemed to be the correct description and shall take precedence over the description assigned by Qables. The updated and complete manufacturers description is available from Qables on request before any order is placed.

10.3 In the event of any material change to any description of goods since the date of publication of the last catalogue by Qables, Qables will advise the Customer of the revised description prior to any order being accepted by Qables.

10.4 Qables reserves the right without prior notice to discontinue any Goods or to make design changes as part of a continuous programme of improvement or to assist availability.

11 Product Performance

The responsibility for ensuring that Goods are sufficient and suitable for the Customers requirements rests with the Customer save insofar as Qables have specifically advised the Customer that the Goods are sufficient and suitable for the Customers purposes.

12 Quality Assurance

All mail order Goods detailed in the Catalogue have been processed in strict accordance with our standard quality procedures, laid down in our quality handbook.

13 Country of Origin

Goods listed in any Qables Catalogue may originate from a Non-EU source. Any published information by Qables as to the country of origin of Goods is an indicator only of the source of supply to Qables and does not constitute a warranty or representation.

14 Copyrights, Patents, Intellectual Property & Information

14.1 Goods referred to in any Qables Catalogue, correspondence or invoice may be subject to a patent, trade mark, registered design, copyright, topography right or other right of a third party. Qables owns full copyright in respect of any Catalogue whether published in paper or electronic form. The reproduction, storage in a retrieval system, or transmission, in any form or by any means, electronic, mechanical, photocopying, recording or otherwise, in part or in whole, is prohibited without the prior written consent of Qables. Notwithstanding any other term of these conditions of sale, title in any software program that forms part of the Goods purchased is retained by Qables and will not pass to the Customer. Such software programs may only be used by the Customer and a revocable non-exclusive licence is hereby granted for the sole use of the Customer (so far as Qables are able to grant such licence) and any software must not be copied or altered or otherwise modified in any way.

14.2 Where any designs or specifications have been supplied by the Customer for manufacture of Goods by Qables the Customer warrants that the use of such designs or specifications for the manufacture, processing, assembly or supply of the Goods shall not infringe the rights of any third party and the Customer shall indemnify Qables against all costs claims and demands of whatsoever nature arising out of the use of such designs or specifications.


15 Limitation of Liability

15.1 The Customer will be responsible for ensuring the fitness for purpose of the Goods for the Customers application unless the purpose is previously notified to and accepted by Qables.

15.2 To the extent permitted by law, Qables accepts no liability whatsoever or howsoever arising in respect of loss, damage or expense arising from errors in information or advice provided whether or not due to Qabless negligence or that of its employees, agents or sub-contractors save for any loss or damage arising from death or personal injury.

15.3 To the extent permitted by law, Qables shall not be liable to the Customer by reason of any representation (unless fraudulent), or any implied warranty, condition or other term, or any duty at common law, or under the express terms of any Contract with the Customer, for any indirect, special or consequential loss or damage (whether for loss of profit or otherwise), costs, expenses or other claims for compensation whatsoever (whether caused by the negligence of Qables, its employees or agents or otherwise) which arise out of or in connection with the supply of the Goods or their use or resale by the Customer.

15.4 The entire liability of Qables under or in connection with the Contract with the Customer shall not exceed the price of the Goods except as expressly provided in these terms and conditions.

16 Force Majeure

16.1 Qables shall not be liable to the Customer or deemed to be in breach of Contract by reason of any delay in performing, or any failure to perform, any obligations of Qables in relation to the Goods, provided that the delay or failure was due to any cause beyond reasonable control of Qables.

17 Law

All contracts between Qables and the Customer shall be governed by and interpreted in accordance with Dutch Law and both Qables and the Customer submits to the exclusive jurisdiction of any competent Court in the Netherlands.

18 Consumer Protection

Nothing contained herein shall affect a Consumers rights under existing laws.
